Agreement to Terms

By accessing or using CivilProposal ("the Service"), you agree to be bound by these Terms & Conditions, our Privacy Policy, and our Professional Liability Disclaimer, which are incorporated by reference. CivilProposal is operated by Lifesaver Technology Services Inc.. If you disagree with any part of these terms, you may not access the Service.

These product-specific terms supplement the company-wide Lifesaver Terms of Service. If there is a conflict between these Terms and a signed order form or statement of work for CivilProposal, the signed agreement controls.

Description of Service

CivilProposal provides sourced civil site scoping intelligence and proposal drafts for Canadian civil engineering firms. The Service uses artificial intelligence (AI), automated systems, and third-party data sources to generate preliminary scoping summaries, proposal drafts, planning-level budget ranges, verification checklists, and related content based on user-provided information and publicly available data.

Lifesaver Technology Services Inc. is a software technology company. We are not an engineering firm and do not hold registration with any provincial or territorial engineering regulatory body. The Service is intended to support professional judgment and decision-making. It does not replace licensed engineering expertise, professional verification, or independent analysis.

No Guarantee of Accuracy or Outcomes

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

We do not guarantee the accuracy, completeness, or suitability of any content generated by the Service. All outputs are based on AI models, patterns, assumptions, and publicly available information that may not be specific to your project or jurisdiction. The Service does not guarantee that proposals created using the platform will be accepted, approved, or successful. Users are responsible for reviewing and validating all AI-generated content, including cost estimates, timelines, and technical specifications, before submission to clients or regulatory bodies.

User Responsibilities

You are responsible for:

• Verifying all information and outputs generated by the Service
• Ensuring compliance with applicable laws, regulations, and professional standards
• Obtaining necessary licenses, permits, and approvals for your projects
• Maintaining the security of your account credentials
• Using the Service in accordance with these Terms and applicable law
• Ensuring that all content you provide is accurate and does not infringe on third-party rights

Intellectual Property

Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to reverse engineer, decompile, or extract source code from the Service
• Interfere with or disrupt the Service or servers connected to the Service
• Upload malicious code, viruses, or harmful content
• Impersonate any person or entity or misrepresent your affiliation
• Use the Service to generate content that violates professional ethics or standards

Subscriptions and Billing

Paid plans are billed on a recurring subscription basis through Stripe unless otherwise stated at checkout. Fees, plan limits, and features are described on our pricing page and may change with notice as set out in the "Changes to Terms" section.

You may cancel a paid subscription at any time through the billing portal in your account settings. Cancellation stops future billing at the end of the current billing period unless otherwise stated at checkout. We do not provide refunds for partial billing periods except where required by applicable law or explicitly stated in writing.

Free tiers and usage quotas (including monthly AI draft generation limits) are subject to change. We may suspend or limit access if payment fails or usage exceeds plan limits.

Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms or for any other reason we deem necessary. You may stop using the Service at any time. To request account closure and deletion of personal information associated with your account, contact [email protected]. We will process requests in accordance with our Privacy Policy and applicable law.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LIFESAVER TECHNOLOGY SERVICES INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, PROFESSIONAL LIABILITY CLAIMS, REGULATORY PENALTIES, OR PROFESSIONAL LICENCE CONSEQUENCES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

Our total aggregate liability for any claims arising from the Service shall not exceed the total amount you paid to us in the twelve months preceding the claim. This limitation applies to all causes of action, whether in contract, tort (including negligence), strict liability, or otherwise.

Indemnification

You agree to indemnify, defend, and hold harmless Lifesaver Technology Services Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or your violation of these Terms or applicable law.

Service Availability

We strive to maintain service availability but do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. We are not liable for any damages resulting from service unavailability.

Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice by email to your registered address and by posting the updated Terms on this page with an updated "Last updated" date. Your continued use of the Service after the notice period constitutes acceptance of the updated Terms. Non-material changes may take effect when posted.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of British Columbia.

Professional Engineers are subject to additional obligations under their provincial Professional Engineers Act and code of ethics. These Terms do not override professional regulatory requirements.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Survival

The following provisions shall survive termination of these Terms: Intellectual Property, Limitation of Liability, Indemnification, Governing Law, Severability, and any other provisions that by their nature should survive.
